In Visual Studio 2010 create a Database project and add some references to .Net assemblies (which are necessary for SQL CLR code to work). This works fine so far, the project builds.

Now close Visual Studio and open it again. All references are gone... The code is showing some syntax problems.

I've attached your own project (in file Database64DropRef.zip) where I've made the following modifications. I added the reference to System.Xml assembly and used class XmlDocument in the code. The screenshot ReferenceAdded.png shows that the reference was succesfully added. However after solution is closed and then reopened again it looks like shown in screenshot ReferenceDropped.png. The solution still can compile, however it shows syntax errors for no reason, which does not look right.

I'm not seeing this. If you open the attached project System and System.Core references to reappear. If this continues to happen please provide your project via this bug or on our SSDT forums and we'll be happy to look at it.
